TERMS AND CONDITIONS FOR THE PROVISION OF COORDINATOR SERVICES

In these Terms and Conditions, references to ‘us’ and ‘we’ and ’our’ are references to Achieve Sports Ltd and references to ‘Agreement’ are to the terms set out below.

TERM

You shall provide your services to us on dates to be mutually agreed from 26th September 2020 unless and until this Agreement terminates by either partygiving to the other not less than 2 weeks’ prior written notice or as otherwise set out below. Each mutually agreed date will be a separate engagement (‘Engagement’).

DUTIES

  1. During this Agreement, you shall use your best endeavours to promote our interests in carrying out the following services for us:
    1. Coordinator duties including liaising with teams, dealing with queries, ensuring ‘no pay, no play’ rules,posting on socialmedia, organising the umpires for the night, ensuring the safety of teams, ensuring our officials are wearing our branded items, storing and bringing the kit, informing us when the kit needs restocking, washing the kits each week, publishing the scores from the night and informing us of any issues/questions the night of the fixtures.(Services).
  2. If, having agreed an Engagement, you are unable to provide the Services due to illness or injury, you must notify the office (typically your league coordinator) as soon as reasonably practicable. If you can recommend an alternative Coordinator, that would be useful.
  3. Matches may be forfeited, cancelled or rescheduled and so agreed Engagements may be re-scheduled or cancelled on short notice.
  4. Youmust comply with all our policies, includingbut not limited Social MediaPolicy, Privacy Policy and Play Netball Terms and playing rules.
  5. You do not have authority to bind us unless we have specifically permitted this in writing in advance.
  6. You must comply with the Bribery Act 2010. Failure to do so may result in the immediate termination of any

FEES AND EXPENSES

  1. Subject to satisfactory performance of your duties, we will pay you a fee based on the table below (exclusive of VAT) per evening that you act as Coordinator. Fees are payableweekly in arrears,normally on or about Fridayfor the fixtures fulfilled the previous week.

  1. You shall bear your own personal expenses such as travel costs. We will reimburse reasonable pre-agreed expenses you incur.                                          OTHER ACTIVITIES

You may be engaged, employed or concerned in any other business, trade, profession or other activity which does not place you in a conflict of interest with us. However, you may not be involved in any capacity with a business which does or could compete with our activities without the prior written consent of Rob Fulker (such consent not to be unreasonably withheld).

  1. CONFIDENTIAL INFORMATION
    1. You shall not use or disclose to any person either during or at any time after the termination of this Agreement any confidential information which is about our business or affairs or any of our business contacts (including players) or processes, or about any other confidential matters which may come to your knowledge in the course of providing the Services.
    2. The restriction in clause 5.1 does not apply to:
      1. any use or disclosure authorised by us or as required by law; or
      2. any information which is already in, or comes into, the public domain otherwise than through your unauthorised disclosure.
  2. NON- SOLICITATION

You shall not at any time during the continuance of this Agreement and for a period of 12 months following the termination of this Agreement for whatever reason, whether on your own account or jointly with any other person, firm, company or organisation, solicit or endeavour to entice away from us and our business any person, firm or organisation to

whom we supply services(including players) with whom you have had contact during this Agreement.

DATA PROTECTION

We will collect and process information relating to you in accordance with our privacy policy.

Your role may include processing personal data, in particular with regard to posting pictures and reports from the league night onto social media pages and giving league updates such as the scores as they happen, both with the purpose of promoting the leagues.

You shall, in relation to any personal data processed:

  • process that personal data only on our written instructions and in compliance with our privacy policy
  • keep the personal data confidential
  • ensure that you have in place technical or organisational measures to ensure the security of any personal data you process
  • not engage another processor without our prior authorisation
  • assist us, at our cost, in responding to any to requests from individuals to exercise their rights including requests for data subject access and to contribute to audits and inspections carried out by us or on our behalf
  • notify us without undue delay on becoming aware of a personal data breach and assisting us in compliance with our data protection obligations.
  • a tour written request, delete or return personal data (and any copies of the same) to us on termination of this agreement.

 

  1. LIABILITY

You shall have personal liability for and shall indemnify us for any loss, liability, costs (including reasonable legal costs), damages or expenses arising from the provision of the Services. Note that, subject to its terms, we have in place insurance cover for our business liability in respect of public liability, product liability, employer’s liability and professional indemnity

TERMINATION

  1. We may at any time terminate this Agreement with immediate effect with no liability to make any further payment to you if:
    1. you are in material breach of any of your obligations under this Agreement; or
    2. other than as a result of illness or accident, after notice in writing, you wilfully neglect to provide or fail to remedy any default in providing the Services.
  2. Any delay by us in exercising our rights to terminate shall not constitute a waiver of those rights.
  3. OBLIGATIONS ON TERMINATION

Any property belonging to us in your possession or under your control, and any original or copy documents obtained by you in the course of providing the Services, shall be returned to Rob Fulker at any time on request and in any event on or before the termination of this Agreement. You also undertake to irretrievably delete any information relating to our business stored on any magnetic or optical disk or memory, and all matter derived from such sources which is in your possession or under your control outside our premises.

 

  1. STATUS
    1. You will be an independent contractor and nothing in these Terms and Conditions shall render you our employee, worker, agent or partner and you shall not hold yourself out as such.
    2. You shall be fully responsible for and indemnify us against any liability, assessment or claim for:
      1. taxation howsoever arising from or made in connection with the performance of the Services, where such recovery is not prohibited by law; and
      2. any employment-related claim or any claim based on worker status (including reasonable costs and expenses) brought by you against us arising out of or in connection with the provision of the Services, except where such claim is as a result of any act or omission by us.
  2. GOVERNING LAW

The Terms and Conditions and any dispute or claim arising out of or in connection with the Agreement or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales and the courts of England and Wales shall have exclusive jurisdiction to settle
